NXT Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of NXT Recruiting (“NXT,” “we,” “us,” or “our”), including the NXT website, applications, databases, recruiting tools, artificial intelligence features, Opportunity Center, Message Blast, connected-email functionality, recommendations, and related services (collectively, the “Service”).

By creating an NXT account, accessing the Service, or using NXT, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Eligibility and Minors

You must be at least 13 years old to create or use an NXT account.

Children under 13 may not use NXT.

If you are under the legal age of majority where you live, you may use NXT only with the permission and involvement of a parent or legal guardian where required.

A parent or legal guardian who permits a minor to use NXT is responsible for supervising the minor's use of the Service where appropriate.

3. Description of NXT

NXT provides technology designed to help student-athletes navigate and organize the college recruiting process.

Features may include:

  • Athlete recruiting profiles
  • College information
  • Athletic program information
  • Coach information
  • Coach contact information
  • Roster information
  • Opportunity Scores
  • Recruiting recommendations
  • Suggested next actions
  • Opportunity Center
  • Recruiting dashboards
  • School search
  • AI Advisor
  • Recruiting email drafting
  • Gmail connections
  • Microsoft Outlook and Microsoft 365 connections
  • Message Blast
  • Recruiting communication history
  • Camps
  • Recruiting questionnaires
  • Notifications
  • Other recruiting tools and resources

NXT may add, modify, limit, or discontinue features as the Service evolves.

4. NXT Is Not a College or Recruiting Decision-Maker

NXT is a technology platform.

NXT is not:

  • A college or university
  • An admissions office
  • An athletic department
  • A coach
  • A scholarship provider
  • The NCAA
  • The NAIA
  • The NJCAA
  • A conference
  • A university compliance office

NXT does not make recruiting, admissions, scholarship, roster, eligibility, or playing-time decisions on behalf of colleges or athletic programs.

5. User Accounts

You are responsible for:

  • Providing accurate account information
  • Maintaining the confidentiality and security of your account
  • Keeping your account information current
  • Protecting authentication credentials
  • Activity conducted through your account
  • Notifying NXT if you believe your account has been compromised

You may not access another person's account without authorization.

6. Athlete Profile Information

Users are responsible for the accuracy of information they provide through NXT.

This may include:

  • Name
  • Graduation year
  • Sport
  • Position
  • Athletic history
  • Club or team information
  • Academic information
  • GPA
  • Standardized test scores
  • Height and weight
  • Athletic measurements
  • Highlight-film links
  • Recruiting preferences
  • Availability
  • Injury information voluntarily provided
  • Communication history
  • Other recruiting information

NXT may rely on this information when generating:

  • Opportunity Scores
  • Recommendations
  • Recruiting actions
  • AI assistance
  • Email drafts
  • School matches

Incorrect or incomplete information may produce inaccurate results.

7. College and Recruiting Data

NXT may provide information regarding:

  • Colleges
  • Athletic programs
  • Coaching staffs
  • Coach contact information
  • Rosters
  • Camps
  • Recruiting questionnaires
  • Conferences
  • Divisions
  • Other recruiting resources

This information may originate from public or official third-party sources.

Coaching staffs, emails, phone numbers, rosters, program information, and recruiting needs may change without notice.

Although NXT works to verify and maintain useful recruiting information, NXT does not guarantee that all third-party information will always be accurate, complete, or current.

8. Opportunity Scores and Recruiting Recommendations

NXT may provide:

  • Opportunity Scores
  • School rankings
  • Recruiting recommendations
  • Roster-fit assessments
  • Suggested next actions
  • Recruiting intelligence
  • Other automated or AI-assisted analysis

These features are informational tools.

They are not guarantees or promises.

NXT does not guarantee:

  • Recruitment
  • Coach interest
  • Coach responses
  • Admission
  • Scholarships
  • Offers
  • Roster positions
  • Playing time
  • Athletic eligibility
  • Camp invitations
  • Professional opportunities
  • Any specific recruiting result

Users should exercise independent judgment when making recruiting decisions.

9. Artificial Intelligence

NXT may provide artificial intelligence-assisted:

  • Recommendations
  • Analysis
  • Drafts
  • Explanations
  • Summaries
  • Suggested next actions
  • Recruiting communications

AI-generated output may contain errors, omissions, outdated information, or unsuitable suggestions.

Users are responsible for reviewing important AI-generated content before relying on it.

NXT's AI does not make recruiting, admissions, scholarship, roster, or coaching decisions on behalf of colleges.

Where users authorize connected-email access, NXT may use relevant recruiting communication context to personalize user-facing recruiting assistance and drafts as described in the Privacy Policy.

10. Connected Gmail, Outlook, and Microsoft Accounts

Users may voluntarily connect supported Gmail, Outlook, or Microsoft 365 accounts.

By connecting an account, you authorize NXT to use the permissions you expressly approve for the purposes disclosed in the Service and Privacy Policy.

Depending on the permissions granted, connected-email functionality may allow NXT to:

  • Identify the connected account
  • Send recruiting communications that you initiate
  • Read relevant mailbox information
  • Use relevant communication context to personalize recruiting drafts
  • Identify coach replies
  • Detect delivery failures
  • Detect bounced emails
  • Identify automated responses
  • Maintain recruiting communication history
  • Improve recruiting follow-up recommendations
  • Improve recruiting contact accuracy

Depending on the permissions granted to NXT through the applicable provider, NXT may technically be capable of accessing messages throughout the connected mailbox.

NXT limits its use of that access to the recruiting functionality described in the Privacy Policy.

Connecting a mailbox is optional.

Users may disconnect supported connected accounts where that functionality is available.

11. Review and Approval of Recruiting Communications

Users are responsible for reviewing recruiting communications before sending them.

Before sending through NXT, users should review:

  • Recipient
  • School or program
  • Subject
  • Message body
  • Personal information
  • Academic information
  • Athletic information
  • Links
  • Videos
  • Other information included in the message

AI-generated drafts are suggestions and should not be assumed to be accurate without review.

NXT does not automatically guarantee the accuracy or appropriateness of generated communications.

12. Message Blast

Message Blast may allow users to create and send personalized recruiting communications to multiple programs.

NXT is designed to send each personalized communication separately rather than exposing unrelated recipients through a shared recipient list.

Users may not use Message Blast or other NXT communication functionality to send:

  • Spam
  • Harassment
  • Deceptive communications
  • Illegal content
  • Unrelated commercial advertising
  • Abusive communications
  • Fraudulent communications
  • Communications that violate applicable law
  • Communications that violate applicable email-provider policies

NXT may limit, suspend, or disable sending functionality when reasonably necessary to protect:

  • Users
  • Recipients
  • Deliverability
  • Third-party providers
  • NXT infrastructure
  • The integrity of the Service

13. Email Delivery and Coach Responses

NXT cannot guarantee that a recruiting email will:

  • Be delivered
  • Avoid spam filtering
  • Be opened
  • Be read
  • Receive a response
  • Produce recruiting interest
  • Produce any particular recruiting result

Email providers, receiving institutions, and recipients control systems outside NXT.

NXT may process delivery failures, bounce information, automated responses, or other relevant communication information to improve recruiting functionality and recruiting-contact accuracy.

14. Recruiting, Eligibility, and Compliance

NXT does not provide official:

  • Legal advice
  • NCAA eligibility determinations
  • NAIA eligibility determinations
  • NJCAA eligibility determinations
  • Conference compliance determinations
  • University compliance determinations
  • Admissions advice
  • Immigration advice
  • Tax advice
  • Medical advice

Users remain responsible for complying with applicable recruiting, eligibility, transfer, amateurism, admissions, communication, and participation requirements.

Important requirements should be confirmed with the appropriate school, compliance office, governing body, parent, legal guardian, counselor, attorney, coach, or other qualified professional.

15. Acceptable Use

You may use NXT only for lawful purposes consistent with the intended recruiting functionality of the Service.

You may not:

  • Access accounts without authorization
  • Attempt to bypass NXT security
  • Interfere with or disrupt the Service
  • Upload malware or harmful code
  • Use NXT for harassment
  • Use NXT for fraud or deception
  • Misrepresent your identity
  • Intentionally submit false recruiting credentials
  • Use connected email functionality to evade spam protections or provider limits
  • Systematically scrape or reproduce NXT proprietary databases without authorization
  • Resell NXT proprietary data without permission
  • Reverse engineer protected portions of the Service except where applicable law expressly permits
  • Violate third-party rights
  • Violate applicable law

16. User Content

Users retain ownership of content they submit to NXT, subject to the rights reasonably necessary for NXT to provide the Service.

User content may include:

  • Profile information
  • Videos
  • Links
  • Athletic information
  • Academic information
  • Recruiting updates
  • Written communications
  • Drafts
  • Other materials

You grant NXT a limited, non-exclusive license to host, store, process, reproduce, display, and use your content as reasonably necessary to:

  • Operate the Service
  • Secure the Service
  • Personalize NXT functionality
  • Provide recruiting features to you

You represent that you have the necessary rights to content submitted through your account.

17. NXT Intellectual Property

NXT retains all rights in its proprietary Service and materials, which may include:

  • Software
  • Designs
  • Branding
  • Interfaces
  • Databases
  • Algorithms
  • Opportunity Score methodology
  • Recruiting intelligence systems
  • Documentation
  • Original content
  • Other proprietary technology

These Terms do not transfer ownership of NXT intellectual property to users.

18. Third-Party Services

NXT may integrate with or link to third-party services such as:

  • Google
  • Microsoft
  • Colleges
  • Universities
  • Athletics websites
  • Recruiting questionnaires
  • Camp-registration providers
  • Video platforms
  • Other recruiting resources

Third-party services are governed by their own terms, privacy policies, and availability.

NXT does not control independently operated third-party services.

19. Free Trials, Promotional Access, and Future Paid Plans

NXT currently may provide subscription functionality through:

  • Free trials
  • Promotional access
  • Testing access
  • Other no-charge access

NXT expects to introduce paid subscriptions in the future.

Before a user is charged for a paid subscription, NXT will disclose applicable information at or before purchase, including information such as:

  • Price
  • Billing interval
  • Included features
  • Usage limits
  • Renewal terms
  • Cancellation terms

NXT will not charge a payment method unless the user has affirmatively agreed to a paid purchase or subscription.

If a future paid plan automatically renews, applicable renewal terms will be disclosed before purchase.

Any future refund or cancellation policy will be disclosed at or before purchase and will be subject to applicable law.

20. Suspension and Termination

NXT may restrict, suspend, or terminate access to some or all of the Service where reasonably necessary because of:

  • Violation of these Terms
  • Fraud
  • Abuse
  • Spam
  • Illegal activity
  • Security concerns
  • Misuse of connected accounts
  • Threats to NXT
  • Threats to other users
  • Requirements imposed by third-party providers
  • Applicable legal requirements

Users may stop using NXT at any time.

Users may request account deletion as described in the Privacy Policy.

21. Service Availability

NXT relies on software, hosting providers, databases, artificial intelligence systems, email providers, college websites, and other third-party infrastructure.

The Service may occasionally be:

  • Unavailable
  • Delayed
  • Incomplete
  • Affected by third-party outages
  • Affected by maintenance
  • Affected by technical errors

NXT does not guarantee uninterrupted or error-free operation.

22. Changes to the Service

NXT may add, modify, limit, suspend, or discontinue features.

NXT may update:

  • Recruiting databases
  • Opportunity Score methodology
  • AI functionality
  • Communication functionality
  • Pricing
  • Subscription plans
  • Other aspects of the Service

Where required, material changes affecting paid subscriptions or user rights will be communicated appropriately.

23. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Service is provided on an "as available" basis.

NXT does not warrant that:

  • The Service will always be uninterrupted
  • Recruiting information will always be current
  • Coaching information will always be accurate
  • AI-generated information will always be correct
  • Opportunity Scores will predict real recruiting outcomes
  • Coaches will respond
  • Recruiting messages will always be delivered
  • Users will receive recruitment
  • Users will receive admission
  • Users will receive scholarships
  • Users will receive offers
  • Users will receive roster opportunities

Nothing provided through NXT constitutes a promise of recruiting success.

24. Limitation of Liability

To the fullest extent permitted by applicable law, NXT and persons or service providers involved in operating or providing the Service will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of the Service.

This may include damages arising from:

  • Lost recruiting opportunities
  • Missed communications
  • Recruiting decisions
  • Admissions outcomes
  • Scholarship outcomes
  • Roster outcomes
  • Athletic opportunities
  • Reliance on Opportunity Scores
  • Reliance on AI-generated information
  • Reliance on third-party recruiting information
  • Email delivery failures
  • Third-party outages

Nothing in these Terms excludes liability that applicable law does not permit to be excluded.

This section should receive professional legal review before NXT launches paid subscriptions at scale or establishes a formal operating entity.

25. Indemnification

To the extent permitted by applicable law, users are responsible for claims, losses, liabilities, or expenses arising from:

  • Their unlawful misuse of NXT
  • Their violation of these Terms
  • Their infringement of another person's rights
  • Their misuse of connected communication features
  • Their unlawful or abusive recruiting communications

This provision does not limit rights or obligations that applicable law does not permit to be waived.

26. Privacy

NXT's collection and use of personal information is described in the NXT Privacy Policy.

The Privacy Policy should be reviewed together with these Terms.

27. Changes to These Terms

NXT may update these Terms as the Service evolves.

If changes materially affect users' rights or obligations, NXT may provide notice:

  • Through the Service
  • By email
  • Through another reasonable method

The Last Updated date at the top indicates when these Terms were most recently revised.

28. Business Entity, Governing Law, and Future Legal Updates

NXT has not yet formed a separate LLC or corporation.

For that reason, these Terms intentionally do not claim that NXT is currently an LLC, corporation, or other registered business entity.

These Terms also do not currently establish:

  • A state of incorporation
  • A fictional legal entity
  • Mandatory arbitration
  • A specific governing-law jurisdiction

These provisions may be updated when a formal NXT operating entity is established.

NXT intends to obtain appropriate professional legal review before launching paid subscriptions at scale.
